Our Wholesale Fund is a tailored investment for ‘Wholesale Investors’ only.
It provides access to our Midlands Smarter PIE Fund, but a lower fee structure and therefore higher returns for investors.

INTRODUCING THE MIDLANDS WHOLESALE FUND. 

The Midlands Income Wholesale Fund invests soley into the Midlands Smarter PIE Fund, but at a lower fee structure and therefore higher returns for investors. That means your investment is secured by residential, commercial and rural property assets throughout New Zealand.

Midlands offers lower fees in exchange for a larger investment (minimum $100,000) with a 30 or 60 day notice period. This is facilitataed by way of a quarterly fee rebate. Returns are announced quarterly and can be paid quarterly into your nominated bank account OR reinvested into the Fund, to grow your long term wealth. It’s your choice.

The Midlands Wholesale Fund is a ‘Wholesale Investment’ and not a ‘retail’ offer (in terms of the Financial Markets Conduct Act 2013). As such, it is only open to ‘Wholesale Investors’ who meet the eligibility criteria outlined below.

WHAT IS A WHOLESALE INVESTMENT?

The Midlands Income Wholesale Fund is a wholesale investment and is only available to wholesale investors under the Financial Markets Conduct Act 2013 (FMCA). Generally speaking, wholesale investments do not have the same level of regulation as retail investments and have fewer protections for the investor.  

In contrast, the Midlands Smarter PIE Fund is a highly regulated ‘retail investment’, and is therefore subject to governance, disclosure, and licensing requirements, including audits and ongoing supervision, all of which are designed to help protect retail investors.

For example, a Product Disclosure Statement is required for retail investments (including the Midlands Smarter PIE Fund) but is not required for wholesale investments. A PDS document is designed to help investors make an informed decision by outlining the key characteristics, risks and features of the investment in language suitable for an inexperienced investor.

Firms offering wholesale funds are not required to be licensed by the FMA, and wholesale funds do not normally have a licensed supervisor appointed to oversee the funds activities. 

WHO IS A WHOLESALE INVESTOR?

To invest in the Midlands Income Wholesale Fund, each investor must meet the FMCA criteria to qualify as a ‘Wholesale Investor’.  Wholesale Investors are defined in law and, broadly speaking, are people or organisations who are large in size or who have sufficient previous investing experience that means they don’t require the same protections as retail investors. Before we can accept an investment into the Midlands Income Wholesale Fund, an investor must complete either a ‘Wholesale Investor Certificate’ or an ‘Eligible Investor Certificate’. An Eligible Investor Certificate must be confirmed by a financial advisor, lawyer or chartered accountant.
